Terms of Service
The agreement between you and Smart Widget — L. Thomas PR for using Smart Widget Platform. By creating an account you accept these terms, so please read them.
1. Acceptance
These Terms of Service ("Terms") govern your use of Smart Widget Platform (the "Service"), operated by Smart Widget — L. Thomas PR ("we", "us"). By creating an account, ticking the acceptance box at signup, or using the Service, you agree to these Terms and to our Privacy Policy, Cookie Policy and Refund & Cancellation Policy, which form part of this agreement.
If you use the Service on behalf of a business, you confirm that you are authorised to bind that business, and "you" refers to it.
2. What the Service is
Smart Widget Platform lets you build an embeddable widget for your website through which your customers ("visitors") can estimate the price of your services, choose an available time, book it, and — where you enable it — pay online. You configure it from your dashboard; visitors use it on your site.
The Service is a tool. You decide what it offers, how it prices, when you are available, and which payment methods it accepts. We do not provide the services your visitors book, and we are not a party to the agreement between you and your visitors.
3. Your account
You must be at least 18 years old and use the Service for business purposes. You agree to give accurate information, keep it up to date, and keep your password private. Everything done through your account is your responsibility, so tell us at smartwidget.app@gmail.com straight away if you believe it has been compromised.
One person or business may hold one account per payout destination: a PayPal account or bank account can receive customer payments for a single Smart Widget Platform account only.
4. Plans, trial and billing
The Service is offered on a Free plan and on paid plans, with the limits and features shown on the Billing page of your Settings. Prices are shown there in euro (EUR).
We are established in Serbia and are not registered for VAT, so our prices carry no VAT and none is added at checkout. Because the Service is supplied to businesses (section 3), any VAT due in your own country is accounted for by you under the reverse-charge rules, and your payment confirmation says so. If we ever become VAT-registered we will show the tax separately and tell you before it applies.
Every new account starts with a free trial of the Pro plan for the number of days shown at signup, with no payment method required. When the trial ends without a paid plan, your account moves to the Free plan; widgets beyond the Free plan's limit are paused, not deleted.
Paid plans are subscriptions billed in advance, monthly or yearly, through the payment provider you choose at checkout (currently PayPal). They renew automatically at the end of each billing period until cancelled. We may change prices with at least 30 days' notice by email; the new price applies from your next renewal after the notice period.
5. Cancellation and downgrades
You can cancel a paid plan at any time from Settings → Billing. Cancelling stops all future charges immediately. Your plan stays fully active until the end of the billing period you have already paid for — the date is shown on the Billing page and in the confirmation email — and then your account moves to the Free plan automatically.
We do not refund the unused part of a billing period, whether monthly or yearly. See the Refund & Cancellation Policy for the few exceptions.
When your account moves to a smaller plan, widgets beyond the new plan's limit are paused (they stop accepting bookings) but are never deleted, and your data stays in place. Subscribing again lets you reactivate them.
6. Payments between you and your visitors
When you enable online payment, your visitors pay you — not us. Payments are processed by Stripe or PayPal into the account you connect in Settings → Payments, under those providers' own terms, which you accept when you connect. Smart Widget Platform never holds, receives or forwards your visitors' money and takes no share of it.
You are the merchant of record for those payments. That means you are responsible for delivering what was booked, for your own prices, taxes, invoices and receipts, and for handling refunds, disputes and chargebacks with your visitor and your payment provider. We show payment status in your dashboard as reported by the provider, but we cannot move money on your behalf.
A payment method is offered to visitors only while it is available on the platform, included in your plan, and your connected account can receive money; otherwise the widget falls back to pay-in-person.
7. Acceptable use
You agree not to use the Service to:
- offer, price or take bookings for anything unlawful, or in a way that breaks the law where you or your visitors are;
- mislead visitors about who you are, what they are booking, or what it costs;
- collect from visitors more personal data than you need for the booking, or use it for anything they would not expect;
- send spam, probe or attack the Service, scrape it, resell it, or interfere with other accounts;
- circumvent plan limits, payment routing or any technical restriction.
We may suspend or remove content or accounts that breach this section, and will tell you why unless the law prevents it.
8. Your obligations towards your visitors
Your visitors are your customers. You are responsible for giving them the information the law requires from you — including your identity and contact details, a privacy notice that covers the data the widget collects for you, your prices, and your cancellation and refund conditions — and for honouring the bookings you accept.
For the personal data of your visitors, you are the data controller and we act as your processor: we process it only to run your widget and dashboard, on your instructions, as described in the Privacy Policy, which also serves as the data processing terms between us.
9. Your content and our intellectual property
Everything you enter into the Service — service names, prices, texts, images, availability — stays yours. You give us a licence to host, display and process it to the extent needed to provide the Service to you and your visitors. You confirm that you have the right to use it.
The Service itself, including its software, design, widget code and documentation, belongs to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use it while you have an account; they do not transfer any ownership.
10. Availability and changes to the Service
We work to keep the Service available and secure, but we cannot promise uninterrupted operation. Maintenance, third-party outages (including payment providers) and events outside our control can cause downtime. Where we can, we will announce planned maintenance in advance.
We may add, change or withdraw features. If a change materially reduces what your paid plan includes, we will tell you at least 30 days before it takes effect, and you may cancel under section 5.
11. Suspension and termination
You may close your account at any time by contacting smartwidget.app@gmail.com; a paid plan then runs to the end of its current period as described in section 5.
We may suspend or terminate your account if you materially breach these Terms, if required by law or a payment provider, or if the account has been inactive on the Free plan for more than 12 months (after warning you by email). On termination your widgets stop working; you may ask for an export of your booking data within 30 days, after which we delete it except where we must keep it by law.
12. Disclaimer and limitation of liability
The Service is provided "as is". To the extent the law allows, we make no warranty that it is error-free or fits a particular purpose, and we are not liable for loss of profit, revenue, bookings or data, or for indirect or consequential loss, arising from your use of the Service — including from a booking or payment failing, a visitor not turning up, or a payment provider's decision.
Our total liability to you for all claims in any 12-month period is limited to the amount you paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or the statutory rights of consumers.
13. Changes to these Terms
We may update these Terms. For material changes we will email you at least 30 days in advance; the date at the top of this page is the version in force. Continuing to use the Service after a change takes effect means you accept it. If you do not, cancel under section 5 before it takes effect.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of Serbia. Disputes go to the competent court for our registered seat in Serbia, without affecting any mandatory consumer rights, or any court you are entitled to bring a claim in, under the law of the country where you live.
